100+ Statutory Changes to Nevada Business Laws

nevada-business-lawThe 78th Session of the Nevada Legislature enacted more than 140 statute changes in the Business Associations title and related titles. The 2016 Edition of Nevada Laws Governing Business Entities—the most comprehensive collection of annotated business entity statutes available for the state of Nevada—captures those changes and more.

Changes affected several business entities, including corporations, limited liability companies and limited partnerships. Among the changes were: New procedures for the ratification of defective corporate acts; acknowledgment of forms of virtual communication as alternatives to in-person meetings; a new durational limit on “combinations with interested stockholders” statutes; clarifications regarding safe harbor for interested transactions; a requirement to update stock ledgers; and clarification of the liabilities of owners of entities subject to merger; and more.

A Table of Sections Affected allows users to quickly identify the statutes that have been amended or added since the 2014 edition. A Table of New Annotations lists recently decided cases that have been added since the last edition, and we have also included five full-text cases concerning recent legal developments regarding derivative claims by creditors, jurisdiction of foreign corporations, partnership-by-estoppel, sale of LLCs and transfer agents.

The book’s companion CD-ROM containing over 90 Nevada forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types. Many of the forms have changed since the last edition of this book as a result of the legislative changes.
