Montana – Legislation Effective April 1 Amends a Variety of Business Entity Statutes

Senate Bill 41 signed by the governor and effective April 1 amends business entity statutes to, among other things, remove the requirement to list the date of first use for an Assumed Business Name; change the standard for a contested name registration from “not the same as or deceptively similar” to “distinguishable on the record”, and provide if a foreign LLC has one or more series of members, the application for certificate of authority must include the name of each series of members and a copy of the operating agreement of each series of members.
