Montana – SB 36, Effective February 18, Revises Limited Partnership Amendment Requirements

Senate Bill 36 (Chapter 43) signed by the governor and effective February 18 requires foreign limited partnerships to file an amendment to certificate of authority to reflect the admission of a new general partner; the dissociation of a general partner; or the revision of any other information at any time for a proper purpose as determined by the foreign LP and a general partner that knows that any information in an application for registration was false when filed or that any information in a certificate of authority to transact business has become false due to changed circumstances shall promptly cause the certificate to be amended; or deliver for filing a statement of change or  statement of correction.
