California – Effective January 1, changes to LLC name requirements

Effective January 1 the Beverly-Killea Limited Liability Company Act was repealed and replaced by the Revised Uniform Limited Liability Company Act. A proposed LLC name may not be one that is likely to mislead the public and must be distinguishable in the records of the Secretary of State from the name of an existing LLC or an LLC name that has been reserved to another party.  A summary of changes to LLC name requirements, name reservations and filing requirements can be accessed on the Secretary of State’s website at http://www.sos.ca.gov/business/be/statutes-of-2012-sb323.htm
