California – Revised Uniform Limited Liability Company Act effective January 1

January 1, 2014 is the effective date of the California Revised Uniform Limited Liability Company Act enacted in the 2011-2012 legislative session as Chapter 419 (Senate Bill 323).  The act repealed the Beverly-Killea LLC Act but does not require existing LLCs to submit new filings. Among the changes are: an individual signing specified records affirms under penalty of perjury that the information in the record is accurate; the name availability requirement is “distinguishable in the records” of the Secretary of State but not misleading; and name reservations and transfers must be made in writing, although name availability inquiries will still be available through the Prepay Priority Telephone Service.  New LLC forms will be posted by the state effective January 1.
