January 1, 2014 is the effective date of the California Revised Uniform Limited Liability Company Act enacted in the 2011-2012 legislative session as Chapter 419 (Senate Bill 323). The act repealed the Beverly-Killea LLC Act but does not require existing LLCs to submit new filings. Among the changes are: an individual signing specified records affirms under penalty of perjury that the information in the record is accurate; the name availability requirement is “distinguishable in the records” of the Secretary of State but not misleading; and name reservations and transfers must be made in writing, although name availability inquiries will still be available through the Prepay Priority Telephone Service.
