New case law and statutory amendments for Florida

In the wake of its overhaul of the Florida Business Corporation Act last year, the Florida Legislature has added or amended more than 80 sections to the Act during the 2020 Florida Legislative Session.

These changes are captured in the 2020 Edition of CSCPublishing’s Florida Laws Governing Business Entities Annotated. A Table of Sections Affected lists all changes.

The 2020 edition also includes more than 40 new case notes summarizing recent judicial interpretations of the law from Florida state and federal courts, as well as four new full-text cases exploring recent legal developments regarding jurisdiction over corporate officers, merger clauses, and LLCs. A Table of New Annotations lists all new case notes; new annotations are marked with a gray bar in the body of the book for quick identification.

A listing of forms and contact information for Florida’s Division of Corporations can be found in the book’s appendix.
