Colorado lawmakers approved new procedures allowing for electronic notice and remote meetings during the 2021 legislative session. Changes include:

  • Appraisal rights: Service on a shareholder demanding appraisal rights may be by electronic transmission.
  • Notice: Notice given pursuant to Colorado’s Title 7 may now be given in person, by telephone, electronic transmission, mail, or by private carrier, if the circumstances warrant another contact method.
  • Shareholder meetings: Boards of directors can elect to hold shareholder meetings by remote communication.
  • Shareholders list: An entity can make its shareholders list available to shareholders through electronic means, and can take precautions to ensure that the list is only available to shareholders. The list may also be made available electronically during a shareholder meeting.

These and other updates changes are captured in the 2021 edition of CSC Publishing’s Colorado Laws Governing Business Entities Annotated. The book also includes a summary of the business entity law highlights from the 2021 Colorado legislative session.

The 2021 edition is annotated with the latest case notes interpreting Colorado business entity law, and includes an up-to-date fee schedule for Colorado business entity filings.

Readers can also access more than 60 Colorado business forms for incorporation and formation, qualification, mergers, dissolution, and name reservation for all entity types via the LexisNexis Bookstore download center.

These features, together with the book’s comprehensive scope of annotated business laws and Uniform Commercial Code statutes, make Colorado Laws Governing Business Entities Annotated  a valued resource for corporate attorneys, in-house counsel and C-suite executives, as well as solo practitioners and general practice firms who advise small businesses in Colorado.

Colorado Laws Governing Business Entities Annotated  is available as a softbound book or as an e-book, compatible with dedicated e-reader devices, computers, tablets, and smartphones that use e-reader software or applications. It is also available on the LexisNexis Digital Library.
