New York Laws Governing Business Entities, Fall 2024
New York lawmakers recently added new requirements for limited liability companies (LLCs) with beneficial owners. This and other changes are captured in the Fall 2024 Edition of New York Laws Governing Business Entities Annotated.
This edition captures the latest legislative changes through Chapter 312 of the 2024 Session. The Table of Sections Affected lists statutory changes and the Legislative Analysis provides an overview of the updates. Blackline Amendment Notes following each amended section indicate exactly which text has been added or deleted.
The Fall 2024 Edition includes more than three dozen new case notes from New York state and federal courts interpreting the law added since the Spring 2024 Edition. The Table of New Annotations lists new case notes, and new notes are marked in the text with gray bars. Also included are five new full text cases covering formation of a partnership, the LLC form, piercing the corporate veil, and the franchise tax.

Colorado Laws Governing Business Entities Annotated, 2024
Colorado’s unique “three of six” combined reporting test has been replaced with the Multistate Tax Commission’s standard. The change now requires the members of an affiliated group of C corporations to file a combined report. The net income of each combined group member will be computed the same way that it’s currently computed under existing law, but intercompany transactions have been eliminated.
The change was among a number of amendments made by Colorado’s General Assembly to the state’s business entity laws during the 2024 legislative session. Other changes concern delinquent domestic entities, dissolved entities, disclosure of member-specific data by nonprofit organizations, and clarification of what constitutes a registered agent’s address.
These and other updates are captured in the 2024 Edition that contains the full text of Colorado’s Title 7—Corporations and Associations—along with related statutes. Changes are captured in the book’s Table of Sections Affected, and Blackline Amendment Notes indicate precisely how the laws have changed. New Jersey Laws Governing Business Entities Annotated, 2024
New Jersey lawmakers amended the corporation taxation laws during the 221st First Annual Session of the state’s legislature in 2024. Lawmakers also amended laws to provide for the certification of a business as an LGBTQ+ business.
This 2024 Edition captures these and other changes, which are listed in the Table of Sections Affected. This newest edition also includes the latest case notes from state and federal courts interpreting the law. New cases are listed in the Table of New Annotations, and new cases are highlighted in the body of the book with gray bars.
Florida Laws Governing Business Entities Annotated, 2024
Florida’s General Assembly added or amended 50+ sections of the state’s business entity laws, including new procedures for ratifications of defective corporate actions and resignation of registered agents, as well as new exemptions under the securities law. The changes are captured in the 2024 Edition. Changes are listed in the book’s Table of Sections Affected, and a legislative summary provides an overview of statutory additions and amendments.
The 2024 Edition also includes more than 40 new case notes summarizing recent judicial interpretations of the law from Florida state and federal courts, as well as five new full-text cases exploring recent legal developments regarding derivative actions, piercing the corporate veil, indemnification, corporate taxation, and arbitration. A Table of New Annotations lists all new case notes, and new annotations are marked with a gray bar in the body of the book for quick identification.
South Dakota Laws Governing Business Entities Annotated, 2024
South Dakota lawmakers added or amended more than 60 sections to the state’s business entity and trust laws during the latest legislative session, including new UCC provisions regulating electronic records such as cryptocurrency and non-fungible tokens (NFTs).
These changes are captured in the 2024 Edition. The book features the full text of Title 47—Corporations and Title 48—Partnerships from the South Dakota Statutes, as well as chapters from Title 51A—Banks and Banking dealing with trusts, and Title 55—Fiduciaries and Trusts. There’s also a curated selection of statutes from related titles covering taxation, trademarks, and civil procedure, along with selected chapters from the UCC.
Maryland & DC Laws Governing Business Entities Annotated, 2024
Maryland lawmakers enacted provisions regarding emergency bylaws for corporation and ratification of defective acts during the 2024 legislative session. In Washington D.C., legislators approved a new subtitle of the UCC dealing with controllable electronic records such as NFTs and cryptocurrency.
Attorney James J. Hanks, Jr. of Venable LLP provides a detailed review of the changes to Maryland’s business laws in his legislative analysis for the 2024 Edition.
This edition includes the full Maryland Corporations and Associations Code from updated through the 2024 legislative session, as well as a curated selection of Maryland statutes covering jurisdiction and corporate taxation. Also included is the complete Business Corporation Act and related business law sections from the District of Columbia Official Code. Changes are listed in the book’s Table of Sections Affected, and Blackline Amendment Notes following each amended section reflect the exact language that was added and deleted since the 2023 Edition.
Arizona Laws Governing Business Entities Annotated, 2025
The 2025 Edition features the full text of Title 10, Corporations and Associations from the Arizona Revised Statutes and Title 29—Partnership from the Arizona Revised Statutes, updated through the 2024 legislative session. Related sections cover taxation trusts, trade names, and sale of securities. Also included are selected chapters from the UCC regarding investment securities and secured transactions.
Indiana Laws Governing Business Entities Annotated, 2025
Indiana’s legislature approved changes to more than three dozen sections of the state’s laws governing business entities in 2024, including a new provision regarding notice requirements for healthcare entity mergers and acquisitions and amendments to the state’s LLC provision addressing the death of a sole member.
These and other updates changes are captured in the 2025 Edition. The book features the full text of Title 23—Business and Other Associations from the Indiana Statutes, updated through the 2024 legislative session.
