The Secretary of State posted information on the amendments to the Delaware business entity statutes which were enacted in the recently ended General Assembly session and which take effect August 1. The General Corporation Law amendment addresses mergers, new limitations on appraisal rights and expanded Chancery Court jurisdiction. The alternative entities statutory changes address the default rule that actions of members, managers or partners require a written vote and allow approvals or consents to be provided by an means permitted by law.
