Senate Bill 180 (Chapter 354) signed by the governor July 23 amended the General Corporation Law. Effective August 1, 2018, nonstock corporations may ratify defective corporate acts, and Section 262 of the GCL was amended regarding shareholder appraisal rights. Another provision of SB 180 requiring proposed names to be distinguishable from the names of registered series of series LLCs will take effect August 1, 2019.
