Virginia’s General Assembly made changes to the state’s business entity statutes during the 2017 legislative session. Among the changes is an amendment regarding the issuance of securities under federal crowdfunding rules, and an amendment regarding authorization of remote shareholder meetings.
The just-released 2017 Edition of Virginia Laws Governing Business Entities captures those changes and more.
The 2017 Edition features selected sections from Title 8.01 concerning service of process on corporations, as well as sections from the Uniform Commercial Code dealing with investment securities and secured transactions. A year’s worth of case annotations have been added to ensure the case coverage remains broad and timely.
The 2017 Edition continues to provide extensive commentary on the Virginia Stock Corporation Act, including excerpts from the 1985 Report of The Virginia Code Commission on that year’s revisions to the Act, as well as explanatory comments from the Joint Bar Committee. The comments contain significant contributions from prominent Virginia attorney Allen C. Goolsby of Hunton & Williams LLP.
The companion CD-ROM contains almost 100 Virginia forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types. A listing of forms and contact information for Virginia’s State Corporation Commission can be found in the book’s appendix.
