Nasdaq (the National Association of Securities Dealers Automated Quotations) filed a listing proposal with the U.S. Securities & Exchange Commission for a diversity requirement for board composition. The proposal includes an example of a board diversity matrix that companies may use to structure disclosures in their annual proxy under the new rule. California, Maryland, Illinois and New York have all enacted board diversity-related measures.
