Florida’s General Assembly added or amended more than 40 sections of the state’s business entity laws, including new revised procedures for service of process and changes to the corporate income tax. The changes are captured in the 2022 Edition of CSC Publishing’s “Florida Laws Governing Business Entities Annotated.”
The 2022 edition also includes more than 60 new case notes summarizing recent judicial interpretations of the law from Florida state and federal courts, as well as five new full-text cases exploring recent legal developments regarding legal representation, the business judgment rule, piercing the corporate veil, and stock transfers. A Table of New Annotations lists all new case notes, and new annotations are marked with a gray bar in the body of the book for quick identification.
Other features include an updated Fee Schedule for Florida business filings and online access to nearly 70 Florida forms for incorporation and formation, qualification, mergers, dissolution, and name reservation for all entity types via the LexisNexis® Store download center. A list of forms and contact information for Florida’s Division of Corporations can be found in the book’s appendix.
The 2022 Edition of “Florida Laws Governing Business Entities Annotated” is available as a softbound book or eBook, compatible with dedicated eReader devices, computers, tablets, and smartphones that use eReader software or applications. It is also available on the LexisNexis Digital Library.
