Florida lawmakers tweak appraisal rights statutes in latest legislative session

Florida’s General Assembly amended several sections of the Florida Business Corporation Act (FBCA) to address concerns raised by corporations and the legal community in the wake of the 2019 overhaul of the FBCA. The new legislation:

  • Clarifies the definition of accrued interest
  • Redefines the circumstances under which a shareholder may assert their appraisal rights
  • Changes the notice of intent requirements for shareholders seeking to assert appraisal rights
  • Provides corporations with the right to prepay interest to a shareholder who demands payment

These and other changes are captured in the 2021 Edition of CSCPublishing’s Florida Laws Governing Business Entities Annotated. This Edition is updated through the 2021 Florida Legislative Session, with 30 added or amended sections in the Florida Business Corporation Act and related chapters. Legislative Analysis explores some of the more important changes, and changes are listed in the Table of Sections Affected.

The 2021 edition also includes more than 50 new case notes summarizing recent judicial interpretations of the law from Florida state and federal courts, as well as five new full-text cases exploring recent legal developments regarding accommodation indorsers, stock purchase agreements, derivative actions, and arbitration clauses. A Table of New Annotations lists all new case notes, and new annotations are marked with a gray bar in the body of the book for quick identification.

Other features include an updated Fee Schedule for Florida business filings and online access to nearly 70 Florida forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types. A listing of forms and contact information for Florida’s Division of Corporations can be found in the book’s appendix.

The 2021 Edition of Florida Laws Governing Business Entities Annotated is available as a softbound book or ebook, compatible with dedicated e-reader devices, computers, tablets and smartphones that use e-reader software or applications. It is also available on the LexisNexis Digital Library.
