Recent judicial decisions provide insight on how courts interpret New York business law

Business and legal professionals rely on case law to understand how judges interpret the business laws in their state. New cases can provide important insight and have the potential to impact client activity, business transactions, and disputes.

CSC publishes New York Laws Governing Business Entities Annotated twice a year to ensure readers have access to the most recent case law available. In this newest Spring 2021 edition alone, we have added more than 130 new case notes since the Fall 2020 edition. Readers will also find the full text of five new cases covering recent legal developments regarding close corporations, fair dealing, breach of fiduciary duty, expulsion of LLC members, and dissenting shareholders’ rights in a merger.

The Spring 2021 edition contains latest legislative changes through Chapter 68 of the 2021 Session including amendments to the Not-for-Profit Corporation Law and General Obligations Law. Blackline Amendment notes following each amended section illustrate exactly what text was added and deleted.

A comprehensive resource

New York Laws Governing Business Entities includes valuable features that make research faster and more efficient. The Table of Sections Affected provides an overview of legislative changes, and new case notes are captured in the Table of New Annotations. Gray bars indicate where new cases have been inserted in the body of the book.

More than 100 fillable New York forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types are available on the LexisNexis Bookstore online download center. A listing of the forms can be found in the book’s appendix. Up-to-date Publication and Fee Tables provide a snapshot of fees for different entities.
