Kansas – Entity Information Report Due Date Standardization

House Bill 2660 (Chapter 45) signed by the governor April 15 and effective April 19 amends the Business Entity Standard Treatment Act to standardize business entity information report filing deadlines to April 15 (for-profit entities) and June 15 (non profit entities).  The bill text can be accessed here.

Delaware – Division of Corporations Activates New Entity Status Codes for Non-Compliant PPOB Address on Annual Reports

The Department of State Division of Corporations recently activated new entity status codes for non-compliance with statutory requirements for Principal Place of Business (PPOB) on annual reports. Delaware corporations may not list their registered agent’s address as the corporation’s PPOB address.   Corporations which fail to list a PPOB address are non compliant until an amended annual report is filed and are not eligible to receive a good standing certificate.

Illinois – New Permitted LLC Indicators Impacting CSC Name Reservation Filings

The Secretary of State LLC Division recently informed service companies that permitted signatories are limited to the following titles: member, manager, managing member, president, vice president, secretary, treasurer, CEO and CFO.   The filing office change means CSC will submit LLC name reservations with the name of customers as applicant instead of CSC.

United Kingdom – Update to Economic Crime and Corporate Transparency Act

Companies House posted an update on its new and expanded powers under the Economic Crime and Corporate Transparency Act to query information, request supporting evidence, and remove information that is inaccurate, incomplete, false or fraudulent.  Consequences for a company’s failure to quickly respond to a query for information could include a financial penalty, an annotation on the company’s record or prosecution.  More information is available here.
