California – Beware of Deceptive Statement of Information Solicitations

The Secretary of State sent an update on misleading direct mail solicitations to file Statements of Information which are sent by third parties and not sent or authorized by the California Secretary of State. The filing office update clarified that business entities may file Statements of Information online at www.bizfileOnline.sos.ca.gov. The update also mentioned other misleading solicitations for preparation of termination documents, corporate minutes and fraudulent certificates of status. More information is available here.


North Dakota – Filings Required to be Submitted Electronically Effective August 1

The Secretary of State sent notice of legislative law changes effective August 1 requiring foreign organizations registered in North Dakota to submit online applications for certificate of authority, amendment to certificate of authority, and certificate of withdrawal to the North Dakota FirstStop Portal at www.firststop.sos.nd.gov.  Filings that are not submitted digitally will be returned for correction.  The changes apply to business corporations, professional corporations, nonprofit corporations, limited liability companies, cooperatives, farm/ranch corporations, farm/ranch LLCs, authorized livestock farm corporations and authorized livestock farm LLCs.    Other forms already required to be submitted online are Trade Name, Fictitious Partnership, and Trademark/Service Mark Registrations, Amendments, Assignments, Renewals and Cancellations.
