Arizona – Department of Insurance and Financial Institutions Amends Fees

Senate Bill 1118 (Chapter 342) signed by the governor July 6 and effective September 25 amends fees for a certificate of the Director of the Department of Insurance and Financial Institutions (DIFI).

Maryland – Legislation Effective October 1

House Bill 342 (Chapter 294) and Senate Bill 261 (Chapter 295) signed by the governor May 12 and effective October 1 provides that LLC operating agreements and partnership agreements may provide for interests to be transferred or assigned to other persons, including to nonmembers or nonpartners, and transfers on death, pursuant to the terms of an LLC operating agreement or a partnership agreement of a general or limited partnership, are effective according to the agreement and are not to be considered testamentary.

House Bill 996 (Chapter 289) and Senate Bill 879 (Chapter 290) signed by the governor May 12 and effective October 1 establishes a process by which a defective corporate act may be ratified by a corporation or its stockholders and applies the act to real estate investment trusts (REITs).

House Bill 999 (Chapter 292) and Senate Bill 431 (Chapter 293) signed by the governor May 12 and effective October 1 amends the corporation act relating to effective date of a dissolution, approval of mergers between parent and subsidiary corporations, and authorization of shareholder participation in meetings by remote communications.
