Tennessee – Secretary of State System Outage Wednesday, February 12 through Monday, February 17

The Secretary of State of Tennessee, Business Services Division is upgrading their Business Filing System. To accommodate the upgrade, the states online system will go down at close of business on Wednesday, February 12 through Monday, February 17.  The state will be able to accept paper filings ONLY on Wednesday, February 13 until 1PM CST. The new site will be live on Tuesday, February 18. Due to the online outage and the launch of the new system, the state will be unable to file or process any corporate filings, UCC filings, UCC searches and document retrieval orders. Please expect delays.

Arizona – Corporation Commission Taking Steps to Prevent Business Fraud

The Arizona Corporation Commission Corporations Division posted a news release regarding initial steps taken to prevent business identity theft and fraud. Among the policy changes are: (1) filers must present two forms of identification when filing in person, and similar identity verification protocols will be applied to online filings; (2) business entities will be required to designate and authorize who can file a document and have signing authority on behalf of the entity; and (3) businesses will be permitted to develop and use their own custom forms to file annual reports so long as information required by the Commission is included.  In addition, the Corporations Division has proposed legislative changes to require Arizona businesses to register with the Commission to obtain authority to conduct business.  More information is available here.
