Legislation Effective July and August 2024

ALABAMA

Senate Bill 112 (Act 2024-413) signed by the governor May 17 and effective August 1 amends the Business and Non-profit Entities Code relating to ratification of defective corporate acts, among other changes.

ARIZONA

Senate Bill 1171 signed by the governor March 29 and effective 91 days after adjournment (projected as April 20) amends the statute pertaining to licensing by the Department of Real Estate.

CALIFORNIA

2023 Senate Bill 553 (Chapter 289) signed into law September 30, 2023, requires employers in California unless exempt to implement and maintain on and after July 1, 2024 an effective workplace violence prevention plan.  A fact sheet can be accessed here.

COLORADO

House Bill 1056 signed by the governor May 10 and effective July 1 changes requirements and processes for issuing treasurer’s deeds to owners of tax liens.

House Bill 1137 signed by the governor June 3 and effective August 8 implements recommendations of a working group created in 2022 to counteract fraudulent filings in the Department of State’s online filing system. Among many changes, the law updates the definition of a registered agent address to exclude a U.S. or commercial post office box; authorizes the filing office to change the status of a delinquent entity immediately after a ruling by an administrative law judge; allows law enforcement officials to make a complaint against filings by entities believed to be fraudulent; restricts entities with a delinquent status for at least 5 years from reinstatement; restricts entities that have been dissolved for at least 2 years from reinstatement; and clarifies the perjury statement affirmed by filers when submitting a document to the DOS.

DELAWARE

House Bill 336 (Chapter 266) signed by the governor May 30 and effective August 1 amends the Limited Liability Company Act regarding certificates of merger or certificates of ownership and merger and revoking dissolution of a protected series, a registered series and an LLC.

House Bill 337 (Chapter 267) signed by the governor May 30 and effective August 1 amends the Revised Uniform Limited Partnership Act regarding certificates of merger or certificates of ownership and merger and revoking dissolution of a protected series, a registered series and an LP.

House Bill 338 (Chapter 268) signed by the governor May 30 and effective August 1 amends the Statutory Trust Act regarding timing of approval of a conversion and a domestication as a statutory trust.

House Bill 339 (Chapter 269) signed by the governor May 30 and effective August 1 amends the Revised Uniform Partnership Act to permit a certificate of merger or certificate of ownership and merger to state amendments to the statement of partnership existence of a surviving domestic partnership in a merger as are desired to be effected by the merger.

IDAHO

House Bill 505 signed by the governor March 18 and effective July 1 updates licensure renewals under the Division of Occupational and Professional Licenses to a biennial renewal cycle with an expiration date at the licensee’s birth month.

IOWA

Senate Bill 2054 signed by the governor April 19 and effective July 1 eliminates the requirement of payment of tax liability for reinstatement of administratively dissolved business entities.

KANSAS

Senate Bill 27 signed by the governor May 9 and effective upon publication in the Kansas Register relates to fees set by the Commissioner of Insurance for licensing of insurance agents and adjusters.

LOUISIANA

Senate Bill 372 (Act 176) signed by the governor May 23 and effective August 1 amends provisions related to Motor Vehicle Service Contracts and deletes the fee for applications for registration with the Secretary of State.

MISSISSIPPI

House Bill 1344 signed by the governor April 29 and effective July 1 requires nonprofit corporation to file annual reports with the Secretary of State including whether the corporation has received public funds and a listing of any state or local governmental entity that distributed the public funds during its most recently completed fiscal year.

Senate Bill 2519 signed by the governor April 15 and effective July 1 created the foreign land ownership act to restrict nonresident aliens from countries considered foreign adversaries to own agricultural and forestry land in the state.

Senate Bill 2545 signed by the governor April 15 and effective July 1 amends the audit threshold and defines monetary donations relating to charitable registration requirements.

NEBRASKA

Legislative Bill 628 signed by the governor February 13 and effective 3 months after adjournment of the session (projected to be April 18) amends provisions relating to professional services by LLCs and professional corporations and strikes requirements for professionals to list residential addresses in filings with the office of the Secretary of State.

TENNESSEE

House Bill 1707 (Chapter 533) signed by the governor March 11 and effective July 1 enacts the Charitable Solicitations Act requiring a charitable organization to file a registration statement with the Secretary of State if a portion of fundraising activities are conducted by professional solicitors, fundraising counsel or commercial coventurers.

House Bill 1708 (Chapter 615) signed by the governor and effective March 27 increases the revenue threshold from $500,000 to $1 million for charitable organizations to submit audited financial statements with annual reports and effective July 1, 2024 reduces the annual event registration fee for the period July 1, 2024 to June 30, 2025 from $50.00 to $10.00.

UTAH

House Bill 251 signed by the governor March 20 and effective July 1,2024 amends provisions related to courts including Section 105 venue for business and chancery court which defines the residence of business organizations as the principal place of business in Utah and if none, the county in which the registered office is located.

House Bill 300 signed by the governor March 13 and effective July 1 amends provisions related to courts including the Business and Chancery Court.

VIRGINIA

House Bill 124 (Chapter 137) signed by the governor March 26 and effective July 1 permits a person authorized by a domestic or foreign corporation to sign an annual report.

House Bill 264 (Chapter 277) and Senate Bill 157 (Chapter 341) signed by the governor April 2 and effective July 1 provide that any ordinance, resolution, notice, or advertisement required by law to be published in a newspaper instead may be published in an online-only news publication.

House Bill 1243 (Chapter 328) and Senate Bill 576 (Chapter 362) signed by the governor April 2 and effective July 1 creates the Unfair Real Estate Service Agreement Act prohibiting any real estate service agreement effective and binding for more than one year purporting to run with the land or bind future owners, allowing assignment by the service provider without notice to all parties, or purporting to create a lien or other security interest on the residential property.

House Bill 794 (Chapter 454) signed by the governor April 4 and effective July 1 relates to statutory agents and service of process.

House Bill 934 (Chapter 58) signed by the governor March 8 and effective July 1 gives limited liability companies the same right to self-representation in small claims court as corporations and partnerships.

WYOMING

Senate Bill 50 (Chapter 50) signed by the governor March 7 and effective July 1 creates the Decentralized Unincorporated Nonprofit Association Act to authorize organization of unincorporated nonprofits with governance and operation using algorithmic means through distributed ledger technology and smart contracts.
