Federal – FinCEN Announces 6 Month Filing Extensions for Beneficial Owner Information (BOI) Reporting by Companies Impacted by Recent Hurricanes

The Financial Crimes Enforcement Network (FinCEN) of the United States Department of the Treasury announced 6 month filing extensions for Beneficial Owner Information (BOI) reporting by companies in response to Hurricanes Beryl, Debby, Francine, Helene and Milton. This extension applies to initial reports, updated reports, and corrections for eligible reporting companies. Attached are the FinCEN notices with requirements specific to each storm.

Oklahoma – Protected Series and Registered Series LLCs Available November 1

Senate Bill 620 (Chapter 120) signed by the governor April 23 and effective November 1 amends business entity statutes including requirements for qualification of professional corporations. The bill text can be accessed here.

Senate Bill 649 (Chapter 121) signed by the governor April 25 and effective November 1 amends the limited liability company act to include protected series and registered series. The bill text can be accessed here

United Kingdom – Updates to CTA Financial Penalties

Companies House, the filing office for  companies in England and Wales, Scotland and Northern Ireland, has introduced new penalties for non-compliance pursuant to the Economic Crime and Corporate Transparency Act.  The enforcement policy and financial penalty amounts ranging from 250 to 2,000 GBP can be accessed at Companies House enforcement policy and Companies House approach to financial penalties.
