Ohio – Legislation Amends Non Profit Corporation Law and Limits Reinstatements to Two Years After Cancellation
House Bill 301 (Session Law 46) signed by the governor July 24 and effective October 24 amended the nonprofit corporation law regarding dissolutions and director duties. The bill text can be accessed here.
Senate Bill 98 (Session Law 39) signed by the governor July 24 and effective October 24 limits reinstatements to two (2) years after cancellation of a license to transact business and addresses fraudulent business filings in the Secretary of State to prohibit the use of a name or address without consent and requires the Secretary of State to cancel or invalidate filings determined to be fraudulent or unauthorized. Senate Bill 94 (Session Law 35) signed by the governor July 24 and effective October 24 among other changes requires counties to provide an electronic means of recording instruments and accessing recorded instruments by June 30, 2026, allow recorders to charge a document preservation charge, and increases the recording fee for tangible and intangible personal property transactions.
