Latest Updates to Nevada Business Laws Now Available

Nevada’s General Assembly concluded the 82nd legislative session in June, enacting more than three dozen statutory changes affecting corporations, securities, and related sections. Those changes are now pending review by the Legislative Counsel.

These latest changes to Nevada’s business entity law are captured in the 2023 Legislative Update to Nevada Laws Governing Business Entities Annotated, releasing this month from CSCPublishing in collaboration with LexisNexis®.

Due to the extensive nature of the updates, we want to make sure readers have the earliest opportunity to review changes to stay on top of the latest corporate law in Nevada. Final changes approved by the Nevada Legislative Counsel will be captured in the 2024 edition of Nevada Laws Governing Business Entities Annotated.

Notable changes included amendments regarding:

  • Amending a corporate name in the articles of incorporation
  • Confidentiality agreements for the inspection of corporate books
  • Corrected filings
  • Written notice of dissenters’ rights
  • Acquisition of shares listed on a national securities exchange
  • Sale of securities
  • Issuance of shares
