Maryland legislature makes important changes to corporation law

The General Assembly of Maryland passed substantive changes to the Maryland General Corporation Law during the 2015 session, including amendments relating to subscriber rights, consents that are effective at a future time and extraordinary actions.

These amendments and other recent changes to Maryland and Washington DC business law are captured in the recently released 2015 Edition of Maryland & DC Laws Governing Business Entities. Published by CSC®Publishing in collaboration with LexisNexis, this resource is the most comprehensive collection of annotated business statutes available for Maryland and Washington DC.

MD-2015The 2015 Edition includes the latest amendments to the Maryland General Corporation Law, as well as the entire District of Columbia Business Corporation Act.

Over 35 new case annotations have been added from decisions of Maryland and District of Columbia courts, and from federal courts sitting in those jurisdictions, as well as seven full-text cases concerning recent legal developments regarding topics including derivative suits, foreign corporations, minority shareholders, jurisdiction over parent corporations, and shareholder rights of inspection.

Also included are in-depth analyses of the 2015 legislative and judicial developments in the Maryland General Corporation Law and Maryland REIT Law and in the District of Columbia Business Corporation Act, prepared by James J. Hanks, Jr., a partner at Venable LLP.

The companion CD-ROM contains over 100 forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all business entity types in Maryland and the District of Columbia. Make sure you are using the most up-to-date form. A listing of the forms and contact information for the jurisdictions can be found in the book’s appendix.

Maryland and DC Laws Governing Business Entities is available as a softbound book or as an ebook, compatible with dedicated e-reader devices, computers, tablets and smartphones that use e-reader software or applications. It is also available on the LexisNexis Digital Library.
