Legislative Bill 35 signed by the governor April 27 and effective 3 months after adjournment (projected to be June 2) amends the Business Corporation Act based on recent updates to the ABA model act including judicial review of elections, shareholder votes and other governance disputes; definitions of shareholder, record shareholder and beneficial shareholder; and qualifications for directors.
