Assembly Bill 207 (Chapter 19) signed by the governor May 8 and effective October 1 makes various changes to business entity statutes including, among others, authorization of a forum selection clause within articles of incorporation or bylaws; making entity records available for inspection; stockholder approval of amendments in writing instead of at a meeting; indemnification of certain persons by a corporation; and dissenting stockholder provisions.
Assembly Bill 432 (Chapter 171) signed by the governor May 28 and effective October 1 establishes provisions related to worker cooperative corporations.
Senate Bill 427 (Chapter 396) signed by the governor June 5 and effective October 1 revises existing provisions relating to corporation records maintained and made available for inspection and requirements to demand inspection of such records.
Existing law requires a registered agent which wishes to resign to file a statement of resignation and an affidavit with the Secretary of State stating that written notice was provided to each represented entity (NRS 77.370). Section 1 of Senate Bill 427 (Chapter 396) signed by the governor June 5 and effective October 1 eliminates the requirement to file an affidavit and provides that the statement of resignation must state that written notice of the resignation has been or will be provided to each represented entity from which the agent is resigning.
