New York to provide information on business resources to newly formed corporations and LLCs

In an effort to provide greater support to new entities seeking to do business in New York, lawmakers approved an amendment requiring the Department of State to provide information and business resources to anyone applying to reserve an entity name. The new legislation applies to new corporations and LLCs, and includes the following:

  • Contact information and website address for the New York state small business development center serving their region;
  • Contact information and website address for the New York state Entrepreneurship Assistance Center serving their region;
  • Contact information and website address for Business Mentor NY;
  • Contact information and website address for Empire State Development, including information about the agency’s resources for supporting and assisting new businesses.

The General Assembly also authorized remote meetings to address ongoing concerns related to the COVID-19 pandemic.

These and other changes are captured in the Spring 2022 edition of New York Laws Governing Business Entities Annotated. Published by CSC, in cooperation with legal publisher LexisNexis, this two-volume resource contains up-to-date New York business entity legislation, as well as other valuable features that make legal research faster and more efficient.

The Spring edition contains the latest legislative changes through Chapter 18 of the 2022 Session. The Table of Sections Affected provides an overview of legislative changes, and Blackline Amendment notes following each amended section indicate exactly what text was added and deleted.

The Spring 2022 edition includes more than 60 new case notes from New York state and federal courts interpreting the law since the Spring edition. Also included are five new full-text cases covering recent legal developments regarding the de facto corporation doctrine, jurisdiction over foreign corporations, LLC membership, piercing the corporate veil, and winding up of partnerships.

More than 100 fillable New York forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types are available on the LexisNexis Bookstore online download center. A listing of the forms can be found in the book’s appendix. Up-to-date Publication and Fee Tables provide a snapshot of fees and publication requirements for the different entities.

The Spring 2022 Edition of New York Laws Governing Business Entities is available as a two-volume softbound book or as an ebook, compatible with dedicated e-reader devices, computers, tablets and smartphones that use e-reader software or applications.
