House Bill 1335 signed by the governor March 12 and effective August 1 makes various amendments to business entity statutes including registered agents may notify the Secretary of State of a nonconsensual appointment; cooperatives shall file annual reports and may reinstate after involuntary dissolution and revocation of authority; involuntary dissolution or revocation of authority of entities for failure to maintain a registered agent or a misrepresentation of any material matter in any application, report or record submitted by the corporation; a change of address of an entity’s principal executive office may be reported on the next annual report or submitted without a filing fee; and the filing fee to register a foreign LLLP increases to $110.00.
