Nevada’s 80th legislative session came to a close in June 2019, with the state’s General Assembly enacting more than three dozen statutory changes in the Business Associations title and related titles. Notable changes included amendments regarding:
- The removal of directors in a regulatory context
- The inspection of corporate records
- Intermediate form mergers
- Fiduciary duties of LLC members and managers
- Alter ego standards for LLCs
- The appointment of receivers for the creditors and members of LLCs
- Resignation requirements for registered agents
