Nevada enacts more than three dozen statutory changes in 2019 Legislative Session

Nevada’s 80th legislative session came to a close in June 2019, with the state’s General Assembly enacting more than three dozen statutory changes in the Business Associations title and related titles. Notable changes included amendments regarding:

  • The removal of directors in a regulatory context
  • The inspection of corporate records
  • Intermediate form mergers
  • Fiduciary duties of LLC members and managers
  • Alter ego standards for LLCs
  • The appointment of receivers for the creditors and members of LLCs
  • Resignation requirements for registered agents

These latest changes to Nevada’s business entity law are captured in CSCPublishing’s Nevada Laws Governing Business Entities: 2019 Legislative Update. The acts are presented in this supplement to CSC’s 2018 Nevada deskbook as enrolled by the Legislature. They have not yet been reviewed by the Legislative Counsel, which will assign code numbers to the newly enacted sections and may make changes to the official statutory text. The final versions of the affected statutes, along with the latest case notes, will be included in the 2020 Edition of CSC’s Nevada Laws Governing Business Entities, Annotated.

CSCPublishing has made the changes available in this 2019 update to ensure that Nevada’s legal community has access to most up-to-date business entity law in order to conduct research more effectively, complete transactions more efficiently and advise clients with confidence.

The book includes a Table of Sections Affected identifying added/amended statutes, expert analysis from Ellen Schulhofer and Albert Kovacs of Brownstein Hyatt Farber Schreck LLP, as well as a companion CD-ROM containing over 90 Nevada forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types. A listing of forms and contact information for the Commercial Recordings Division of the Secretary of the State can be found in the book’s Appendix.

Nevada Laws Governing Business Entities: 2019 Legislative Update is available as a softbound book or as an ebook, compatible with dedicated e-reader devices, computers, tablets and smartphones that use e-reader software or applications. It is also available on the LexisNexis Digital Library.
