Oklahoma – Legislation Amends Business Entity Statutes Effective November 1

Senate Bill 769 (Chapter 323) signed by the governor May 22 and effective November 1 amends business entity statutes.  Among the changes are authorizing actions to determine validity of certain corporate instruments; ratification of defective corporate acts and stock; communications contact for a corporation shall be provided to the registered agent and updated from time to time as necessary; qualification of a foreign corporation requires a certificate of existence within 6 months; LLC conversions to other entity types; LLC applications for reinstatement; and the Secretary of State’s office may email annual certificates to limited partnership 60 days prior to the anniversary date.
