Virginia lawmakers passed a number of changes to business entity statutes during the 2015 Session of the Virginia General Assembly. The changes are captured in the 2015 Edition of Virginia Laws Governing Business Entities, releasing this month. Published by CSC®Publishing in collaboration with LexisNexis, this resource is the most comprehensive collection of annotated Virginia business statutes available.
New this Edition: The 2015 Edition also includes selected sections from Title 8.01 concerning service of process on corporations, as well as sections from the Uniform Commercial Code dealing with investment securities and secured transactions. In addition, a year’s worth of annotations has been added, ensuring the case coverage remains broad and timely.
The 2015 Edition continues to feature extensive commentary on the Virginia Stock Corporation Act, including excerpts from the 1985 Report of The Virginia Code Commission on that year’s revisions to the Act, as well as explanatory comments from the Joint Bar Committee. The comments contain significant contributions from prominent Virginia attorney Allen C. Goolsby of Hunton & Williams LLP.
The companion CD-ROM contains almost 100 Virginia forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types. A listing of forms and contact information for Virginia’s State Corporation Commission can be found in the book’s appendix.
