Stay on top of changes in Pennsylvania business law

pa business lawsPennsylvania’s legislature overhauled the state’s business laws last year, resulting in greater flexibility for mergers, conversions, interest exchanges and domestications, and establishing a new central set of provisions for entity names and for registering to do business as a foreign entity.

These legislative changes, effective July 2015, also resulted in an overhaul of the state’s business forms. Practicing attorneys, their staff and in-house counsel in Pennsylvania should be sure they are working with the most up-to-date annotated business law and entity forms available.

The legislative changes and new forms are captured in the 2016 Edition of Pennsylvania Laws Governing Business Entities, releasing this month. Also included are 80 new case annotations from state court decisions interpreting Pennsylvania business law.

The 2016 edition is updated through Chapter 17 of the 2016 Regular Session of the General Assembly.
In addition to the new case annotations, the book contains five full-text cases from the past year highlighting recent legal developments concerning attorney-client privilege in a corporate environment, creation and sale of a partnership, required notice to shareholders, and holding corporate officers in contempt for a corporation’s noncompliance.

The companion CD-ROM contains over 100 Pennsylvania forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types. A listing of forms and contact information for the Pennsylvania Corporations Bureau can be found in the Appendix.

The 2016 Edition of Pennsylvania Laws Governing Business Entities is available as a softbound book or as an ebook, compatible with dedicated e-reader devices, computers, tablets and smartphones that use e-reader software or applications. It is also available on the LexisNexis Digital Library.
