Updated Statutes, New Case Law in 2023 Missouri Business Entity Deskbook

Missouri business attorneys and their staff at small and large law firms can find the latest updates to the state’s business entity laws and the most recent related case law in the 2023 edition of “Missouri Laws Governing Business Entities Annotated.”

The newest edition features the full text of Title 23—Corporations, Associations, and Partnerships from the Missouri Statutes, as well as related sections covering taxation, trademarks, securities and arbitration, and Articles, 1, 8, and 9 from the Uniform Commercial Code. All statutory content is updated through the 101st General Assembly Regular Session and the 2022 First Extraordinary Session, and changes are captured in the book’s Table of Sections Affected.

The book is fully annotated with the latest case notes from state and federal courts interpreting the law. A Table of New Annotations and gray bars make it easy to quickly identify new decisions added since the previous edition.

There’s an up-to-date Fee Schedule showing the secretary of state’s required filing fees for various business services, as well as online access to more than 60 Missouri forms for incorporation and formation, qualification, mergers, dissolution, and name reservation for all entity types via the LexisNexis® Bookstore download center. A list of forms and contact information for Missouri’s Secretary of State Business Services are provided in the book’s appendix.

The book’s expansive index, sequential pagination, and page tabs make finding the information quicker and easier, while larger pages and a clean typeface enhance reading ease.

As with CSC’s other annotated statutory collections, “Missouri Laws Governing Business Entities Annotated” is also available as an eBook and is part of the LexisNexis® Digital Library.
