The Virginia Assembly amended the state’s business laws during the 2021 session to align alternative entity filings with comparable filings for stock corporations. The changes came in the wake of a comprehensive update of the Virginia Stock Corporation Act during the 2019 Session of the General Assembly.
The amendments affect filings by nonstock corporations, limited liability companies, business trusts, and partnerships related to cancellations, abandonments, name restrictions, registered agent resignations, and entity conversions.
The Assembly also approved adjustments to the assessment of annual fees after certain entity conversions or domestications.
