Delaware – Changes to General Corporation Law Enacted

The State of Delaware has posted information on Senate Bill 75 signed June 24 by the governor and effective August 1 to  amend the General Corporation Law (GCL) . The bill allows forum selection provisions in charter documents or bylaws as to internal corporate claims including derivative actions and prohibits stock corporations from including in charter documents or bylaws fee-shifting provisions that would require a stockholder to pay attorneys’ fees or costs in connection with an internal corporate claim.
