Notice of bondholders’ meeting for convertible bonds issued by Bong AB (publ)

Bong AB (publ) has requested that the bondholders of the SEK 75,000,000 convertible bonds 2013/2018 with ISIN SE0005281821 (collectively the “Convertible Bonds”) issued by it on 17 July 2013 approve a request to amend certain terms of the Convertible Bonds.

Intertrust CN (Sweden) AB (previously CorpNordic Sweden AB) (the “Agent”), acting in its capacity as agent for the bondholders under the terms and conditions for the Convertible Bonds, has convened the bondholders to a Bondholders’ Meeting whereby the bondholders can approve or reject a request made by the issuer to amend certain terms of the Convertible Bonds.

The Bondholders Meeting will take place on 19 January 2016, at 17:30 CET at Intertrust CN (Sweden) AB’s offices, Sveavägen 9, 10th floor, 111 57 Stockholm. Registration will start at 17:00 CET.

To be eligible to participate in the Bondholders’ Meeting, a person must be registered on a Securities Account with Euroclear Sweden as a direct registered owner (direktregistrerad ägare) or be registered as an authorised nominee (förvaltare) with respect to one or several Convertible Bonds on 12 January 2016 (the “Voting Record Date”).

Bondholders who wish to participate (in person or represented by proxy) in the Bondholders’ Meeting must notify the Agent of their participation in the meeting no later than 18 January 2016. Notifications must be sent by e-mail to trustee@intertrustgroup.com. Notification is not required for bondholders that will participate in the Bondholders’ Meeting only by issuing a Voting Power of Attorney as referred to below.
The formal notice of the meeting has been sent by ordinary mail to direct registered bondholders and registered authorized nominees in accordance with the terms and conditions of the Convertible Bonds.
