To the bondholders in the senior secured fixed rate bonds with ISIN SE0012230209, SE0012230217 and NO0010843600 (the “Bonds”) issued by Smallville AB (publ) (the “Issuer”) on 20 February 2019.
On 10 February 2022, a notice of written procedure was sent to the Bondholders, regarding the Proposal (as defined in the notice to the written procedure) (the “First Written Procedure”). The First Written Procedure, which ended on 1 March 2022, did not meet the quorum requirement. However, pursuant to the Terms and Conditions, the Issuer retains a right to call for a second written procedure where the quorum requirement does not apply.
The Issuer requested that the Agent shall initiate a second written procedure (the “Second Written Procedure”) for the purpose to approve the Request. The Second Written Procedure ended on 21 March 2022 and the Agent hereby announces the successful completion of the Second Written Procedure.
Pursuant to the Terms and Conditions, no quorum requirement apply to the Second Written Procedure, hence the votes received are decisive. The Request was accepted by 95.28 per cent of the eligible votes.
