ICON Real Estate Fund III – Suurpelto Ky (the “Issuer”) up to EUR 4,500,000 (or its equivalent in SEK) Senior Secured Fixed Rate Bonds 2018/2021, EUR BOND – ISIN: SE0011451871, SEK BOND – ISIN: SE0011451608 (the “Bonds”)
Notice regarding decisions taken by way of a Second Written Procedure concerning certain waivers and acceptance of the Property Sale.
This is a notice sent on 8 March 2022 in accordance with Clause 25 (Notices) of the terms and conditions of the Bonds, as effective on the date hereof (the “Terms and Conditions”) to the holders of the Bonds (the “Bondholders”). All capitalised terms used herein and not otherwise defined in this notice shall have the meanings assigned thereto in the Terms and Conditions.
Reference is made to the Second Written Procedure, for which a notice was given on 18 February 2022 (https://www.intertrustgroup.com/our-services/capital-markets-services/bond-news/notice-to-a-second-written-procedure-icon-real-estate-fund-iii-suurpelto-ky-eur-4500000-or-its-equivalent-in-sek-senior-secured-fixed-rate-bonds-2018-2021-eur-bond-isin-se001/) (the “Notice”), and for which the last date to vote was on 7 March 2022 no later than 13:00 (CET) and the Request set forth in the Notice.
It is hereby notified that the requisite majority of Bondholders which have replied in the Second Written Procedure has as at 13:00 CET on 8 March 2022 approved proposals set out in the Request and, accordingly, the proposals were deemed approved by and binding upon all Bondholders in accordance with the voting requirements of the Terms and Conditions.
This notice has been sent by registered mail to Bondholders (direct registered owners (Fin: omistaja) and registered authorised nominees (Fin: hallintarekisteröinnin hoitaja)) and published on the website of the Agent in accordance with the Terms and Conditions.
