ICON Real Estate Fund III – Suurpelto Ky (the “Issuer”) up to EUR 4,500,000 (or its equivalent in SEK) Senior Secured Fixed Rate Bonds 2018/2021, EUR BOND – ISIN: SE0011451871, SEK BOND – ISIN: SE0011451608 (the “Bonds”)
This is a notice sent on 18 February 2022 in accordance with Clause 25 (Notices) of the terms and conditions of the Bonds, as effective on the date hereof (the “Terms and Conditions”) to the holders of the Bonds (the “Bondholders”). All capitalised terms used herein and not otherwise defined in this notice shall have the meanings assigned thereto in the Terms and Conditions.
Reference is made to the Written Procedure, for which a notice was given on 3 February 2022 (https://www.intertrustgroup.com/our-services/capital-markets-services/bond-news/notice-to-a-written-procedure-icon-real-estate-fund-iii-suurpelto-ky-eur-4500000-or-its-equivalent-in-sek-senior-secured-fixed-rate-bonds-2018-2021-the-notes-eur-bond-isi/) the “Notice”, and for which the last date to vote was on 17 February 2022 no later than 13:00 (CET) and the Request set forth in the Notice. It is hereby notified that the quorum and hence majority approval requirements was not met in the Written Procedure, thus the Request was neither accepted nor rejected. Accordingly, a Second Written Procedure will be initiated today 18 February 2022 where no quorum requirement will apply in accordance with Clause 16 (j) of the Terms and Conditions.
This notice has been sent by registered mail to Bondholders (direct registered owners (Fin: omistaja) and registered authorised nominees (Fin: hallintarekisteröinnin hoitaja)) and published on the website of the Agent in accordance with the Terms and Conditions.
