Notice of Written Procedure for bonds issued by Catella AB (publ) (the “Issuer”)

Intertrust (Sweden) AB (the “Agent”) acting in its capacity as agent for the bondholders under the terms and conditions for the up to SEK 750,000,000 senior unsecured bonds with ISIN SE0009994718 (the “Bonds”), has at the request of the Issuer on 25 April 2019 initiated a written procedure by which bondholders can approve or reject a proposal from the Issuer.

The proposed amendments to the terms and conditions of the Bonds include (i) allowing the Issuer to make a dividend in an aggregate amount of SEK 103,538,286 for the fiscal year 2018 and (ii) allowing the group to incur debt under profit participating loans or profit participating notes issued by alternative investment funds (providing that certain conditions are fulfilled).

The changes in the terms and conditions are made to partly enable a broader product offering and the Issuer believes that the result for the year 2018 does not reflect the strength of the underlying business where, among other things, fixed income has increased steadily and the result was burdened with costs which relate to 2019 and are attributable to the wind down of the banking business area. The notice of the written procedure have been delivered to all bondholders on 25 April 2019. The written procedure will end on 23 May 2019. To be eligible to participate in the written procedure a person must fulfil the formal criteria for being a bondholder on 2 May 2019. This means that the person must be registered on a securities account with Euroclear Sweden AB as a direct registered owner (Sw. direktregistrerad ägare) or authorised nominee (Sw. förvaltare) with respect to one or several Bonds.
