Notice of Written procedure for NorCell Sweden Holding 3 AB (publ) SEK 1,750,000,000 Senior Unsecured Fixed Rate Notes 2016/2021

Deutsche Trustee Company Limited acts as trustee (the “Trustee”) for the holders of the notes (the “Noteholders”) in the above mentioned notes issue ISIN SE0007730353 (with an aggregated amount outstanding of SEK 1,750,000,000) (the “Notes”) issued by NorCell Sweden Holding 3 AB (publ) (the “Issuer”) pursuant to the Trust Deed entered into on 21 June 2016 (the “Trust Deed”). The Issuer has appointed Intertrust (Sweden) AB to act as agent (the “Agent”) in connection with this Written Procedure. The Agent, as requested by the Issuer, hereby initiates this procedure in writing, whereby Noteholders can vote for or against the Issuer’s request for Amendments (as defined below) to the Terms and Conditions and the Trust Deed, as described herein.
