Intertrust (Sweden) AB (the “Agent”) acting in its capacity as agent for the bondholders under the terms and conditions for the bonds, has at the request of the Issuer on 4 October 2019 initiated a written procedure by which bondholders can vote for or against the Issuer’s request to amend the terms and conditions, waive certain defaults arising under the terms and conditions and authorise the Agent to act on their behalf.
The Issuer asks the bondholders to approve (i) a permanent amendment of the terms and conditions for the bonds (including, but not limited to, removing certain reporting requirements and requirements as to listing and admission to trading of the bonds and certain restrictions in the terms and conditions of the bonds in order to achieve overall cost savings in the on-going business of the Issuer and facilitate the operations of the Bygga Bostäder group) (ii) waivers of certain defaults arising under the terms and conditions of the bonds, and (iii) authorisations to the Agent to enable the request, and further specified in the formal and detailed notice for the written procedure, also effective subject to certain conditions occurring (the “Request“).

Notice of written procedure for CHR Bygga Bostäder Holding AB (publ)
Pursuant to Clause 16 (g) of the terms and conditions, a quorum in respect of the written procedure will only exist if bondholders representing at least fifty (50) per cent of the adjusted nominal amount reply to the Request. Pursuant to clause 16 (e) of the terms and conditions, at least sixty-six and two thirds (66 2/3) per cent. of the adjusted nominal amount for which bondholders reply in the written procedure must consent to the Request in order for it to be approved.
The Agent must have received the votes no later than by 17.00 (CET) on 30 October 2019.
