Notice to a Written Procedure -ICON Real Estate Fund III – Suurpelto Ky EUR 4,500,000 (or its equivalent in SEK) Senior Secured Fixed Rate Bonds 2018/2021 (the “Notes”) (EUR BOND – ISIN: SE0011451871; SEK BOND – ISIN: SE0011451608)

Intertrust (Finland) Oy (the “Agent”), acting in its capacity as agent for the Noteholders of the ICON Real Estate Fund III – Suurpelto Ky EUR 4,500,000 (or its equivalent in SEK) Senior Secured Fixed Rate Bonds 2018/2021 (the “Notes”) with the following ISIN codes: EUR BOND – ISIN: SE0011451871; SEK BOND – ISIN: SE0011451608, has at the request of the bankruptcy administrator of ICON Real Estate Fund III – Suurpelto Ky (the “Issuer”) on 3 February 2022 initiated a written procedure (the “Written Procedure”) by which Noteholders can vote for or against the Issuer’s waiver requests and acceptance of and entry into a contemplated property sale (the “Request”).

The formal notice with more information on the Written Procedure, the Request and how to participate can be downloaded from the link above. A copy of the Indicative Offer (schedule 1), can be requested separately by contacting the e-mail addresses set out below.

The formal notice for the Written Procedure has been sent by registered mail to Noteholders (direct registered owners and registered authorised nominees) in accordance with the Terms and Conditions of the Notes.

To be eligible to participate in the Written Procedure, a person must fulfil the formal criteria for being a Noteholder on 10 February 2022 (the “Record Date”). This means that the person must, on the Record Date, be registered on a book-entry account with Euroclear Sweden AB, being the CSD, as a direct registered owner or authorised nominee with respect to one or several Notes.

The Agent must receive the Voting Form no later than 13:00 (CET), 17 February 2022, by regular mail, via courier or e-mail to the addresses indicated under Section 3.6 of the Request. Votes received thereafter may be disregarded.
