Notice to bondholders in senior secured bonds issued by Blåfjell AS

To the bondholders in senior secured bonds with ISIN NO 001 080980.9 (NOK Bonds) (the “Bonds”) issued by Blåfjell AS (the “Issuer”) on 9 November 2017.

A Norwegian translation of this notice is included in the full notice which can be downloaded as per below. In case of any inconsistency between the Norwegian translation and the English text, the English text shall prevail. 

Notice to Bondholders

Reference is made to the Written Procedure initiated 2 November 2020 and the Notice of Outcome dated 16 November 2020, whereby the Bondholders resolved to instruct the Trustee to file a motion for reversal of the decision to enter into the agreement concerning transfer of business in accordance with the Norwegian Bankruptcy Act § 117a cf. §99.

In accordance with this resolution, Intertrust filed a motion for reversal of the decision to enter into the agreement concerning transfer of business in accordance with the Norwegian Bankruptcy Act §117a cf. § 99.

The motion of reversal was not granted by the court, meaning that the decision to enter into the agreement concerning transfer of business in accordance with the Norwegian Bankruptcy Act was not reversed. The outcome of this agreement and the transfer of the business in which the Bondholders has security, involves that no remedy will be available for the Bondholders in relation to the Bonds.

The Trustee is still waiting fro the bankruptcy proceeding to be declared closed.
