SAS AB (publ) – Notice regarding distribution of CVNs

To Holders of the SEK 1,615,000,000 unsubordinated perpetual floating rate callable capital securities with ISIN SE0014957999 (the “Hybrid Instruments”) issued by SAS AB (publ) (“SAS” or the “Issuer”) on October 23, 2020.

As part of the Swedish Plan and Chapter 11 Plan, the general unsecured creditors of the Issuer will receive contingent value notes (“CVNs”) and Available Cash (as defined in the Chapter 11 Plan) in accordance with the terms set forth in the Swedish Plan (the Swedish Plan is available on the website of the Issuer (www.sasgroup.net/transformation) and Chapter 11 Plan. The Holders are considered to be general unsecured creditors and thus are entitled to receive CVNs. In order to receive the CVNs all Holders MUST fill out the CVN Registration Form which can be found on https://cases.ra.kroll.com/SAS/ and there you click on the link “Submit Registration Form for CVNs (For Commercial Hybrid Bondholders Only)” found in the Quick Links section of said website. In order to receive the CVNs you must fill out the CVN Registration Form on the site mentioned above. Kindly review the notice from SAS that is attached to this posting. It contains some tips on how to fill out the form. If you have any questions, on how to fill out the form kindly send an email to  SAS_CVN@sas.se and SAS together with its advisors will assist you.

The last day to fill out the attached form is currently expected to be in the end of August and an exact date will be communicated later. Due to the complexity we urge you to start filling out right away. You will most likely need to be in contact with your bank and/or custodian to receive their input on certain aspects.
